Peepz Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and PEEPZ Technologies Services (“Peepz,” “we,” “us,” or “our”) governing your access to and use of the Peepz mobile application and all associated services (collectively referred to as the “Services”). By accessing or using Peepz, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must refrain from using our Services.

1. Definitions:

For the purposes of these Terms, the following definitions shall apply:
– “Peepz” refers to the mobile application and all associated Services provided by PEEPZ Technologies Services. (No. B3251/2024).
– “User” refers to any individual or entity that accesses or utilizes the Services.
– “Services” encompasses all functionalities provided by Peepz, including but not limited to messaging, financial transactions, artificial intelligence features, and any other features or tools made available through the application.
– “Content” refers to any data, text, images, videos, audio, or other materials uploaded, posted, or transmitted through the Services.
– “Third-Party Services” refers to any external platforms, applications, or services integrated with or accessible through Peepz.

2. Acceptance of Terms

By accessing or using Peepz, you signify your unconditional acceptance of these Terms and Conditions. If you do not agree to these Terms, you must not use our Services. We reserve the right to modify, amend, or replace these Terms at any time, and any changes will be effective immediately upon posting within the application. Your continued use of the Services following any changes constitutes your acceptance of the revised Terms.

3. Eligibility

To use Peepz, you must:
– Be at least 18 years of age or the legal age of majority in your jurisdiction.
– Possess the legal capacity to enter into a binding agreement.
– Comply with all applicable laws and regulations in your jurisdiction.

By using Peepz, you represent and warrant that you meet these eligibility requirements.

4. Services Offered

Peepz leverages cutting-edge technologies and third-party services to deliver a seamless user experience, including but not limited to:
– Messaging and communication tools.
– Financial transaction capabilities, including peer-to-peer transfers and payments.
– Artificial intelligence-driven features, such as personalized recommendations and automated responses.
– Integration with third-party platforms and services.
Peepz reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

5. User Responsibilities

As a User, you agree to:
– Provide accurate, current, and complete information during registration and maintain the accuracy of such information.
– Use the Services in compliance with all applicable laws, regulations, and these Terms.
– Refrain from any conduct that may harm, threaten, or otherwise infringe upon the rights of others.
– Notify Peepz immediately of any unauthorized use of your account or any other breach of security.
– Refrain from engaging in any activity that could disrupt or interfere with the proper functioning of the Services.
– Comply with all applicable export control and economic sanctions laws and regulations.

6. Account Security

Users are solely responsible for maintaining the confidentiality of their account credentials, including but not limited to usernames, passwords, and any other authentication information. You are also responsible for all activities that occur under your account. Peepz shall not be liable for any loss or damage arising from your failure to comply with this security obligation.

7. Intellectual Property

All content, software, and materials available through Peepz, including but not limited to trademarks, logos, text, graphics, and other intellectual property, are owned by or licensed to PEEPZ Technologies Services and are protected by intellectual property laws. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use only.

You agree not to:
– Copy, modify, or create derivative works of the Services or any content therein.
– Reverse engineer, decompile, or disassemble the Services.
– Remove, alter, or obscure any copyright, trademark, or other proprietary notices.

8. Privacy Policy

Your privacy is paramount to us. We encourage you to review our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using Peepz, you consent to the practices described in our Privacy Policy.

9. Payment Terms

By utilizing the payment features of Peepz, Users agree to adhere to the terms set forth by Rapyd, Stripe, and any other third-party payment processors. All transactions are subject to the applicable fees and conditions imposed by these payment processors. Users are responsible for all charges incurred through their accounts.

Peepz reserves the right to suspend or terminate your access to payment features in the event of suspected fraud, unauthorized transactions, or violation of these Terms.

10. Limitation of Liability

To the fullest extent permitted by law, PEEPZ Technologies Services and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services, including but not limited to loss of profits, data, or goodwill. The total liability of PEEPZ Technologies Services for any claim arising from or related to these Terms shall not exceed the amount paid by you to Peepz in the six (6) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless PEEPZ Technologies Services, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of Peepz, your violation of these Terms, or your infringement of any third-party rights.

12. Modification of Terms

PEEPZ Technologies Services reserves the right to modify or replace these Terms at any time. All changes will be effective upon posting within the application. It is your responsibility to review these Terms periodically. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Antigua and Barbuda, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be resolved exclusively in the competent courts of St. John’s, Antigua and Barbuda.

14. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiations. If the dispute cannot be resolved amicably, it shall be submitted to binding arbitration in accordance with the rules of the Eastern Caribbean Supreme Court.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16. Force Majeure

Peepz shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government restrictions.

17. Entire Agreement

These Terms constitute the entire agreement between you and PEEPZ Technologies Services regarding your use of the Services and supersede all prior or contemporaneous agreements, understandings, or representations.

18. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of PEEPZ Technologies Services. We may assign or transfer our rights and obligations under these Terms without restriction.
